1. Agreement to Terms

By accessing or using the SAVR Restaurant Dashboard ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you must immediately discontinue use of the Service.

The Service is intended exclusively for use by restaurant businesses to manage customer loyalty programs. You represent and warrant that: (a) you have the legal authority to bind your restaurant business to these Terms, (b) you are at least 18 years old, (c) you will use the Service only for lawful business purposes, and (d) all information you provide is accurate and current.

These Terms constitute a legally binding agreement between you (the restaurant business) and SAVR. By clicking "I agree" or by using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach
• Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for maintaining the confidentiality of your password. You agree to notify SAVR immediately of any unauthorized use of your account.

3. Service Description

SAVR provides a restaurant dashboard that allows you to:

• Create and manage promotional deals and offers
• Track customer loyalty points and redemptions
• Generate and manage QR codes for customer enrollment
• View analytics and transaction history
• Configure notification preferences and settings

We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

4. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

• Illegal Activities: Use the Service for any illegal purpose, fraudulent activity, money laundering, or violation of any applicable laws or regulations
• Security Violations: Attempt to gain unauthorized access, bypass security measures, hack, reverse engineer, decompile, or extract source code from the Service
• Harmful Code: Transmit viruses, malware, ransomware, spyware, or any other malicious or harmful code
• Service Disruption: Interfere with, disrupt, or impose unreasonable load on the Service, servers, or networks
• Fraudulent Deals: Create false, misleading, or deceptive promotional offers that constitute consumer fraud or bait-and-switch tactics
• Data Misuse: Collect, store, or use customer data without proper consent, for purposes other than your loyalty program, or in violation of privacy laws
• Account Sharing: Share your account credentials with unauthorized individuals, create multiple accounts to circumvent limitations, or sell/transfer your account
• Harassment: Harass, abuse, threaten, or spam our support team or other users
• IP Infringement: Infringe upon intellectual property rights, trademarks, copyrights, or trade secrets of SAVR or third parties
• Scraping/Automation: Use automated tools, bots, or scrapers to access the Service without our written permission

Violation of these prohibitions may result in immediate account suspension or termination, legal action, and reporting to law enforcement authorities.

5. Content and Intellectual Property

Your Content: You retain ownership of all content you submit through the Service (deal descriptions, restaurant information, images, etc.). By submitting content, you grant SAVR a worldwide, non-exclusive license to use, store, and display your content solely for the purpose of providing the Service.

Our Content: The Service, including its design, features, graphics, and code, is owned by SAVR and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

6. Fees, Payment, and Subscriptions

Current Status: The Service is currently offered free of charge during our beta period. Paid subscription plans may be introduced in the future with advance notice.

If/When Paid Plans Are Introduced:

• Billing: Subscription fees will be billed in advance on a monthly or annual basis (as selected)
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
• Authorization: You authorize us to charge your designated payment method automatically for all fees owed
• Refund Policy: All fees are non-refundable except as required by law or explicitly stated in a promotional offer. No refunds for partial months or unused Service
• Price Changes: We may change pricing with 30 days' advance notice via email or in-app notification. Continued use after price changes constitutes acceptance
• Late Payment: Failure to pay may result in immediate account suspension, service interruption, or termination. You remain responsible for all unpaid fees plus collection costs
• Free Trials: If we offer free trials, they automatically convert to paid subscriptions unless you cancel before the trial ends. We will notify you before charging
• Taxes: Fees are exclusive of taxes. You are responsible for all applicable sales tax, VAT, GST, or other taxes

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You acknowledge that:

• You are responsible for complying with all applicable privacy laws when collecting customer data
• You must obtain proper consent from customers before enrolling them in your loyalty program
• You will not use customer data for purposes other than your loyalty program
• SAVR processes data as described in our Privacy Policy
• You will maintain appropriate security measures for customer data

8. Termination

By You: You may terminate your account at any time by contacting support. Upon termination, you will lose access to the Service and all associated data.

By Us: We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in fraudulent activity. We reserve the right to refuse service to anyone for any reason at any time.

9. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied Warranties: Merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, accuracy
• Service Availability: The Service will be uninterrupted, timely, secure, or error-free
• Accuracy: Results obtained from the Service (analytics, redemption codes, QR codes) will be accurate, complete, or reliable
• Error Correction: Any errors, bugs, or defects will be corrected, or that the Service is free from viruses or harmful components
• Specific Results: The Service will meet your specific requirements, increase revenue, or achieve any particular business outcome
• Third-Party Services: Google Maps, QR code functionality, or Resend email delivery will always work correctly
• Data Integrity: Your data will not be lost, corrupted, or compromised (though we implement reasonable safeguards)

Beta Disclaimer: The Service is in active development. Features may change, break, or be discontinued at any time. You acknowledge that you use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• No Indirect Damages: SAVR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to: loss of profits, revenue, data, goodwill, business opportunities, or customer relationships, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• Liability Cap: Our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
• Exclusions Apply To: Service outages, data loss, security breaches (unless caused by our gross negligence), third-party failures (Google Maps, Supabase, Resend, etc.), business losses from loyalty program issues, customer complaints, or QR code malfunctions.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless SAVR, its parent company, subsidiaries, affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and court costs) arising from or relating to:

• Your Use: Your access to or use of the Service, including any data or content transmitted by you
• Terms Violation: Your breach of these Terms or any representation, warranty, or covenant contained herein
• Third-Party Rights: Your violation of any third-party rights, including intellectual property, privacy, publicity, or contractual rights
• Law Violations: Your violation of any applicable laws, regulations, or ordinances
• Customer Data: Your collection, use, or disclosure of customer personal data in violation of privacy laws (GDPR, CCPA, etc.)
• Customer Complaints: Claims by your customers regarding deals, point balances, redemptions, or loyalty program disputes
• Fraudulent Activity: Any fraudulent, misleading, or deceptive activity conducted through your account

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You will not settle any claim that affects SAVR without our prior written consent.

12. Changes to These Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Notify you via email to your registered email address at least 30 days before the changes take effect (for material changes)
• Display a prominent notice within the Service dashboard

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must immediately stop using the Service and terminate your account. Non- material changes (typo corrections, clarifications) may be made without notice.

13. Governing Law and Jurisdiction

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Venue and Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you irrevocably consent to the personal jurisdiction and venue of such courts.

Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or these Terms.

14. Additional Legal Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SAVR regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of SAVR.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate, successor, or acquirer without restriction.

14.5 Force Majeure

SAVR will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, natural disasters, power outages, internet failures, strikes, or government actions.

14.6 Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

14.7 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and SAVR and do not create any third-party beneficiary rights.

14.8 Survival

The following sections shall survive termination of these Terms: Content Ownership (Section 5), Disclaimers (Section 9), Limitation of Liability (Section 10), Indemnification (Section 11), Governing Law (Section 13), and this Survival clause.
